Jeffrey D. Moss is a Member of Dawda, Mann, Mulcahy & Sadler, PLC. He concentrates his practice in the areas of business transactions, tax law, estate planning and tax exempt nonprofit matters.
In Mr. Moss's tax practice, he counsels companies and their owners, individuals and fiduciaries and beneficiaries regarding tax planning, estate and succession planning, and tax compliance. He also has experience in international tax planning, choice of entity and other tax-advantaged structures. His experience and knowledge extends to obtaining both federal, state and local tax credits, incentives and grants, particularly in the areas of alternative energy, MEGA and advanced battery tax credits and Michigan film tax credits.
In the nonprofit area, Mr. Moss handles the formation and qualification of entities as tax exempt under federal tax law, both for charitable and medical purposes. Mr. Moss has experience with IRS controversies including the Offshore Income Voluntary Disclosure Program and is admitted to practice in front of the IRS and in US Tax Court.
Mr. Moss' corporate practice involves all types of business formation, such as corporations, limited liability companies, joint ventures and partnerships and drafting of the requisite governance documents. In addition, Mr. Moss has extensive experience in structuring and handling mergers and acquisitions, reorganizations, asset purchase and sale transactions, stock purchase and sale transactions, liquidations, recapitalizations, and related transactions.
Mr. Moss also has many physician and medical practitioner clients and has been actively involved in issues confronting medical professionals, including practice formation and separation, buy-sell agreements, estate planning and asset protection solutions, creation of limited liability companies and other issues related to the medical and healthcare areas.
For his article titled "Solar Panels, Tax Incentives and Your House," published by the ABA's Property & Probate Magazine in January 2010, he was honored with a 2010 Excellence in Writing Award. The article was named the magazine's Best Cutting Edge Article of 2010.
Mr. Moss earned his J.D. from the University of Michigan Law School in 1993 and his LLM in Taxation from Wayne State University in 1999. He received his B.A. from the James Madison College at Michigan State University in 1990.
